On August 4, 2026, OCM trial team Sean Carnathan, Stephanie Towne and William Hartzell delivered an $8,276,114 verdict in favor of their client, Theodore “Bud” Lampros, in Lampros v. Innovive Health of Massachusetts, LLC, after a two-week jury trial in the Massachusetts Business Litigation Session (BLS2).
Innovive breached its obligation to execute a “monetizing event” to sell or otherwise recapitalize the company and buy out Mr. Lampros’ interest on or before October 29, 2021. The jury verdict represents the “price” of Mr. Lampros’ interest as if the company had honored its obligation to monetize it.
The jury also found that Innovive’s majority shareholder and CEO, Joseph McDonough, breached the covenant of good faith and fair dealing and his fiduciary duty to Mr. Lampros. The team anticipates further proceedings concerning the equitable remedy for Mr. McDonough’s breach of fiduciary duty, which will be determined by the court.
